Terms of Service

These Terms of Service ("Terms") are an agreement between you and EZ Total Solutions LLC ("we", "us") for the use of MARKIT, including the web app, MARKIT Mini and MARKITEER (the "Service"). By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you use the Service for a business, you confirm you are authorized to accept these Terms for that business, and "you" includes the business.

1. The Service

MARKIT helps home service businesses market their work: AI-written posts and plans, a content calendar, publishing to connected accounts such as Facebook and Instagram, field photo collection, lead tracking and related tools. Some features are labeled "coming soon" and are not available until we say so. We may add, change or remove features over time.

2. Accounts

  • You must be at least 18 and use the Service for business purposes.
  • Keep your login details secure. You are responsible for activity under your account, including by staff and field techs you invite.
  • Give accurate information and keep it up to date.

3. Plans, billing and cancellation

  • Paid plans (such as MARKIT Standard and MARKIT MAX) are billed in advance on a recurring basis through Stripe until cancelled. Prices are shown before you subscribe.
  • If a free trial is offered, your plan starts automatically when the trial ends unless you cancel before then.
  • You can cancel any time in Account → Manage billing. Cancellation takes effect at the end of the current billing period, and you keep access until then. Except where the law requires, payments are non-refundable and we do not give credits for partial periods.
  • We may change prices with at least 30 days' notice. The new price applies from your next billing period after the notice.
  • If a payment fails, we may limit or pause the Service until it is resolved.
  • You are responsible for applicable taxes.

4. Ad Wallet

The Ad Wallet holds prepaid funds you add for paid promotion features. Funds are used only as you direct, are not a bank account, do not earn interest, and cannot be transferred to another account. If you close your account, you may request a refund of your unused balance by emailing support@eztotalsolutionsusa.com; we will refund it to your original payment method, less any non-refundable payment processing fees.

5. Your content and data

  • You own the content you upload or create in the Service (photos, captions, business details, leads).
  • You give us a limited license to host, copy, process, display and publish your content only to provide the Service, including posting it to the accounts you connect and sending it to our AI provider to generate text.
  • You confirm you have the rights to the content you use, including photos taken by your staff and any people or property shown in them.
  • For information about your own customers (for example, leads), you are responsible for having a lawful basis and any needed consent, and for honoring their requests. We process that information on your behalf.

6. AI-generated content and MARKITEER

  • AI suggestions can be inaccurate or incomplete. Review captions, offers, plans and replies before you publish or send them. You are responsible for what you publish, including prices, claims and promotions.
  • MARKITEER only changes your account after you tap Approve. You are responsible for changes you approve.
  • Results such as reach, leads or revenue are not guaranteed.

7. Connected services (Facebook, Instagram, Google and others)

  • When you connect a third-party account, you authorize us to act on that account as you direct, such as publishing posts at the times you schedule.
  • Your use of those platforms is also governed by their own terms and policies, including Meta's Terms and Community Standards. You are responsible for following them.
  • We are not responsible for third-party platforms, including outages, rejected or removed posts, changed features, or account restrictions they apply.
  • You can disconnect at any time in Workspace Settings → Connections. Scheduled auto-posts then switch back to manual.

8. Text messages and email

If you use features that send texts or emails to your customers (for example, review requests or missed-call text-backs), you are the sender and must have each recipient's consent where required, and must follow applicable laws such as the Telephone Consumer Protection Act and CAN-SPAM. Recipients can reply STOP to opt out of texts. Message and data rates may apply. Message frequency varies.

9. Acceptable use

You agree not to use the Service to:

  • post content that is false or misleading, infringes others' rights, or is unlawful, hateful or harassing;
  • send spam or messages to people who have not agreed to receive them;
  • post fake reviews or testimonials;
  • break, probe or overload the Service, or access other customers' data;
  • resell or copy the Service without our written permission.

We may remove content or suspend accounts that break these rules.

10. Our rights

The Service, including its software, design, the MARKIT name and logo, and the MARKITEER character, belongs to EZ Total Solutions LLC. These Terms do not give you rights to our trademarks or software beyond using the Service. If you send us feedback, we may use it without obligation to you.

11. Ending your account

You can stop using the Service and cancel at any time. We may suspend or end your access if you breach these Terms, fail to pay, or if required by law, with notice where reasonable. After your account ends, we delete your data as described in our Privacy Policy. Sections that by their nature should survive (such as payment obligations, disclaimers, liability limits and governing law) continue to apply.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT ALLOWED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT PROMISE THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT POSTS WILL PUBLISH AT AN EXACT TIME.

13. Limitation of liability

TO THE FULLEST EXTENT ALLOWED BY LAW, EZ TOTAL SOLUTIONS LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM.

14. Indemnity

You agree to defend and indemnify EZ Total Solutions LLC against claims, losses and costs (including reasonable attorneys' fees) arising from your content, your use of the Service, your messages to your customers, or your breach of these Terms or the law.

15. Governing law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Florida, and you and we consent to their jurisdiction.

16. Changes to these Terms

We may update these Terms. We will post the new version here with a new effective date and, for significant changes, notify account owners by email or in the app. Continuing to use the Service after changes take effect means you accept them.
